IMPORTANT: By accessing or using the Smithspeer Financial Analysis Application, you agree to be bound by the terms of this End User License Agreement. Please read it carefully before use.

1. Grant of License

Smithspeer LLC ("Licensor") grants you ("User") a limited, non-exclusive, non-transferable, revocable license to use the Financial Analysis Application (the "Application") solely for internal business and personal financial analysis purposes authorized by the Licensor.

The Application is authorized for use only by Nathan Smith and designated authorized personnel of Smithspeer LLC and its affiliated entities, including Eagle Point Technology, Inc., JEGNA LLC, and associated personal financial accounts.

Unauthorized access to or use of the Application is strictly prohibited. You are responsible for maintaining the confidentiality of your access credentials and OAuth tokens.

3. QuickBooks Online and Intuit Integration

3.1 Third-Party Services

The Application integrates with QuickBooks Online through the Intuit Developer Platform using OAuth 2.0. Your use of QuickBooks Online and the Intuit API is subject to Intuit's own Terms of Service, Privacy Policy, and Developer Agreement, which are separate from this Agreement.

By connecting a QuickBooks Online account to the Application, you represent and warrant that:

The Application requests access to QuickBooks Online financial data solely for generating reports and analysis for authorized internal use. The Application will not modify, delete, or write data to your QuickBooks Online accounts without your explicit direction and confirmation.

By accessing smithspeer.com, you agree to use the website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

The Application, website, and all associated content — including code, scripts, analysis logic, written content, and the Smithspeer logo and branding — are the proprietary work of Smithspeer LLC. All rights not expressly granted under this Agreement are reserved by the Licensor.

Financial data accessed from QuickBooks Online remains the property of the respective account holders and is subject to Intuit's terms and conditions.

6. Data Handling and Privacy

The Licensor's collection and use of data in connection with the Application and website is governed by the Smithspeer LLC Privacy Policy, available at:

By using the Application, you acknowledge that you have read and agree to the Privacy Policy.

7. Disclaimer of Warranties

THE APPLICATION AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Smithspeer LLC does not warrant that the Application will be uninterrupted, error-free, or completely secure, or that financial analysis generated by the Application constitutes professional financial, tax, legal, or investment advice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMITHSPEER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION OR WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. No Professional Advice

Nothing in the Application, website, or their outputs constitutes professional financial, accounting, tax, legal, or investment advice. All financial, tax, and legal decisions should be reviewed by qualified licensed professionals — including CPAs, financial advisors, and attorneys — before action is taken.

10. Termination

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Application and revoke its access to any connected QuickBooks Online accounts via your Intuit account settings.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Hillsborough County, Florida.

12. Entire Agreement

This Agreement, together with the Smithspeer LLC Privacy Policy, constitutes the entire agreement between you and the Licensor with respect to the Application and website, and supersedes all prior or contemporaneous understandings regarding its subject matter.
